Terms of Service

    Please read these Terms carefully.

    These Terms of Service (the “Terms”) form a legally binding agreement between you and SimpleAlgo (“SimpleAlgo,” “we,” “us,” or “our”). They contain a binding individual arbitration provision, a class action waiver, a jury trial waiver, automatic subscription renewal terms, a strict refund policy, and important disclaimers regarding trading risk and the absence of any performance guarantee. By accessing or using our website, indicators, dashboards, courses, communities, or any other product or service we provide (collectively, the “Services”), you accept these Terms in full. If you do not agree, do not access or use the Services.

    1. Agreement to Terms

    By creating an account, clicking “I agree,” starting a trial, submitting payment, or otherwise accessing or using the Services, you represent that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are entering into these Terms on behalf of an entity, you represent that you have authority to bind that entity, and “you” refers to that entity.

    These Terms apply in addition to, and do not replace, the terms of any third-party platform you use in connection with the Services (including TradingView, Whop, Stripe, and Discord).

    2. Eligibility

    • You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) and have full legal capacity to enter into contracts.
    • You must not be located in, or a resident of, any country or region subject to comprehensive sanctions, and you must not appear on any restricted-party or denied-persons list.
    • You must not be prohibited from receiving the Services under any applicable law, and you are solely responsible for compliance with the laws of your jurisdiction.
    • Access previously terminated or suspended by us may not be re-established through a new account, alternate email, alias, or payment method.

    3. Description of the Services

    SimpleAlgo provides software tools, technical-analysis indicators for the TradingView platform, AI-assisted analysis features, educational materials and courses, and access to community channels. The Services are informational and educational software tools only.

    We are not a broker-dealer, investment adviser, commodity trading advisor, futures commission merchant, financial planner, or fiduciary, and nothing we provide constitutes financial, investment, legal, tax, or trading advice or a recommendation, solicitation, or offer to buy or sell any security, commodity, derivative, or digital asset. See Section 12.

    We may add, modify, suspend, or discontinue any feature, indicator, model, integration, or portion of the Services at any time. We may impose reasonable usage limits, including on AI features, to protect the stability and security of the Services.

    4. Accounts and Security

    • You must provide accurate, current, and complete registration information and keep it updated.
    • You must maintain a valid TradingView account and correctly link the TradingView username to which indicator access is granted. Access granted to an incorrect username you supplied is not grounds for a refund.
    • You are solely responsible for all activity occurring under your account and for safeguarding your credentials.
    • Accounts are personal, single-user, and non-transferable. Credential sharing, seat sharing, or use by more than one individual is a material breach.
    • You must notify us promptly at support@simplealgo.io of any suspected unauthorized use.

    We may suspend or restrict an account where we reasonably suspect fraud, payment abuse, account sharing, multi-accounting, chargeback risk, or violation of these Terms.

    5. Subscriptions, Trials, Billing, and Automatic Renewal

    5.1 Plans and Offers

    We offer paid subscription plans and one-time purchases, which may include promotional trial offers (for example, a $1 introductory trial period). All purchases are final and non-refundable as described in Section 6. The plan name, introductory amount, trial length, renewal price, renewal frequency, and currency are disclosed at checkout, and the terms shown to you at checkout govern your purchase. Prices are stated in U.S. dollars unless otherwise indicated and are exclusive of any applicable taxes.

    5.2 Authorization and Automatic Renewal

    Your subscription automatically renews. By purchasing a subscription or starting a trial, you authorize us and our payment processors to charge your payment method (a) the introductory or trial amount at checkout, and (b) the then-current renewal price automatically at the end of the trial or each billing period, on a recurring basis, until you cancel. For example, a $1 ten-day trial converts automatically to the recurring plan price disclosed at checkout unless cancelled before the trial ends.

    You authorize us to store your payment credentials with our processors and to update them via card-updater services. If a charge fails, we may retry, and we may suspend access until payment succeeds.

    5.3 Cancellation

    You may cancel at any time from your account dashboard or by emailing support@simplealgo.io. Cancellation takes effect at the end of the then-current billing period; access continues until that date, and no partial or pro-rated refunds are provided for the unused portion of a period. It is your sole responsibility to cancel before a renewal date; forgetting to cancel is not grounds for a refund.

    5.4 Price Changes and Taxes

    We may change subscription prices. Price changes apply to renewal periods beginning after we provide notice by email or in-product. Your continued use after the effective date constitutes acceptance; if you do not agree, cancel before renewal. You are responsible for all applicable sales, use, VAT, GST, and similar taxes.

    5.5 Lifetime and Course Purchases

    “Lifetime” access means access for the operational lifetime of the applicable product or the Services, whichever is shorter, and does not guarantee perpetual availability of any specific indicator, feature, integration, or third-party platform. Masterclass, course, and other one-time digital purchases are final and non-refundable, as disclosed at checkout.

    6. Refund Policy

    Because the Services provide immediate access to digital goods and intellectual property, and to the maximum extent permitted by law, all sales are final except as expressly stated in this Section or as required by mandatory consumer law in your jurisdiction. Where mandatory local law grants you a non-waivable withdrawal or refund right, that right applies and nothing here limits it.

    6.1 All Sales Final

    We do not offer a satisfaction guarantee, trial refund, or money-back period for any plan or product. This includes subscriptions, introductory and promotional trials, renewals, upgrades, reactivations, lifetime memberships, courses, and any other one-time digital purchase. By completing checkout you acknowledge that access is delivered immediately, you request immediate performance, and you waive any withdrawal or cooling-off right to the extent such waiver is permitted by law.

    Cancelling stops future renewals only. No partial, pro-rated, or retroactive refunds are issued for unused time in a paid period.

    6.2 Exceptions

    We will issue a refund only where (a) mandatory consumer law in your jurisdiction requires it, (b) a duplicate or demonstrably unauthorized charge occurred, or (c) we choose to do so at our sole discretion as a goodwill gesture, which does not create any entitlement or precedent. Any goodwill refund may be conditioned on termination of access.

    6.3 Refunds Are Not Available For

    • Lack of profitability or trading losses. Results are never guaranteed and are not a defect.
    • Failure to cancel before a renewal. Subscription management is your responsibility.
    • Non-use of the product after access was delivered.
    • Change of mind at any point after access is delivered.
    • Third-party platform issues, including TradingView outages, account restrictions, or plan limitations.
    • Accounts terminated for breach of these Terms.
    • Requests made in bad faith, including chargeback threats, harassment, or misrepresentation.

    6.4 Abuse

    We may deny any refund request, including discretionary goodwill requests, where we identify abuse, including repeated requests, refund cycling, using trials as recurring free access, multi-accounting, account sharing, false claims about functionality, or refusal to participate in basic troubleshooting. Refund decisions are made at our reasonable discretion based on the criteria above.

    7. Chargebacks and Payment Disputes

    If you believe a charge is incorrect, you must first contact support@simplealgo.io and allow us a reasonable opportunity to resolve it. Initiating a chargeback or payment dispute without first contacting us is a breach of these Terms.

    • We may immediately suspend or terminate access to all Services, including lifetime and course access, upon receipt of a dispute.
    • You authorize us to submit evidence to the card network, bank, or processor, including account records, IP and device logs, login and session history, delivery and access records, communications, and cancellation records.
    • Where permitted by law, you remain liable for the disputed amount, processor dispute fees, and reasonable costs of collection if the dispute is resolved in our favor.
    • Accounts associated with fraudulent disputes may be permanently banned across all products and future purchases.

    8. License Grant and Restrictions

    Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your own personal, internal, non-commercial trading and educational purposes during your active subscription or access period.

    You will not, and will not permit any third party to:

    • Share, sell, rent, lease, sublicense, resell, or otherwise commercially exploit the Services, indicators, or course materials.
    • Copy, record, screenshot for redistribution, mirror, scrape, or republish course videos, PDFs, or community content.
    • Reverse engineer, decompile, disassemble, decrypt, or attempt to derive source code, logic, model prompts, formulas, or parameters of any indicator or AI feature.
    • Create derivative works, competing products, or training datasets from the Services or their outputs.
    • Circumvent access controls, paywalls, licensing checks, rate limits, watermarks, or signed URLs, or access non-public endpoints.
    • Use bots, scrapers, or automated means to access the Services except as we expressly permit.
    • Interfere with, overload, probe, or attempt to breach the security or integrity of the Services.
    • Misrepresent your affiliation with SimpleAlgo or use our marks without written permission.

    Any breach of this Section immediately terminates your license, without refund, and may result in legal action and claims for injunctive relief and damages.

    9. Intellectual Property

    The Services and all associated content, software, source code, indicator logic, algorithms, models, text, graphics, video, audio, course materials, designs, trademarks, logos, and trade dress are owned by SimpleAlgo or its licensors and are protected by copyright, trademark, trade secret, and other laws. All rights not expressly granted are reserved.

    Feedback. If you send us suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them without restriction or compensation.

    Copyright claims. If you believe content on the Services infringes your copyright, send a notice with the information required under the DMCA (17 U.S.C. §512) to support@simplealgo.io. We may remove content and terminate repeat infringers.

    10. User Content and Community Conduct

    You retain ownership of content you submit (messages, testimonials, screenshots, support communications). You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and use that content to operate, support, and promote the Services, including use of testimonials and reviews in marketing.

    You are responsible for your content and represent that you have the rights to submit it. Prohibited conduct in our community channels includes harassment, hate speech, spam, solicitation, sharing pirated material, offering signals or managed accounts, impersonation, and posting unlawful content. We may remove content and revoke community access at any time.

    We do not endorse and are not responsible for user content or for any trading decision made in reliance on it.

    11. Third-Party Platforms and Services

    The Services depend on third-party platforms and providers, including TradingView (indicator hosting and access), Whop and Stripe (billing and payment processing), Discord (community), and AI and infrastructure providers. Your use of those platforms is governed by their own terms and privacy policies.

    We do not control and are not responsible for third-party outages, data loss, pricing, policy changes, account bans, feature removals, or discontinuation, any of which may limit or interrupt the Services. Such events do not entitle you to a refund, though we will make commercially reasonable efforts to restore or replace affected functionality.

    12. Trading Risk Disclosure and No Financial Advice

    Trading and investing involve substantial risk of loss and are not suitable for every person. You can lose some or all of your capital. Only risk capital you can afford to lose.

    • No financial advice: all content, indicators, signals, alerts, AI outputs, and educational materials are for informational and educational purposes only and are not personalized advice or a recommendation to transact.
    • No guarantee: we do not guarantee accuracy, completeness, timeliness, uptime, win rates, profitability, or any specific outcome. Indicators may repaint, lag, or produce false signals, and market data may be delayed or inaccurate.
    • Past performance is not indicative of future results. Hypothetical, backtested, or simulated results have inherent limitations: they are prepared with the benefit of hindsight, do not involve financial risk, and do not account for slippage, fees, liquidity, or the psychological effects of live trading. No representation is made that any account will or is likely to achieve profits or losses similar to those shown.
    • Testimonials and results shown on our website are individual experiences, are not verified as typical, and are not a guarantee of your results. Some testimonials may be from users who received incentives or free access.
    • AI features may produce inaccurate, incomplete, or misleading output and must be independently verified before any decision.
    • You are solely responsible for your own trading and investment decisions, risk management, tax obligations, and compliance with the laws and regulations applicable to you. Consult a licensed professional before acting.

    13. Disclaimer of Warranties

    To the maximum extent permitted by applicable law, the Services are provided “as is” and “as available,” with all faults and without warranty of any kind. SimpleAlgo and its owners, officers, employees, contractors, affiliates, and licensors expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components, or that any defect will be corrected. No advice or information, whether oral or written, creates any warranty not expressly stated here.

    Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the above exclusions apply to the fullest extent permitted and mandatory statutory rights are unaffected.

    14. Limitation of Liability

    To the maximum extent permitted by law, SimpleAlgo and its owners, officers, employees, contractors, affiliates, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost trading gains, trading or investment losses, lost revenue, loss of data, loss of goodwill, or business interruption, arising out of or relating to these Terms or the Services, whether based in contract, tort, negligence, strict liability, warranty, statute, or otherwise, and whether or not we were advised of the possibility of such damages.

    Our total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the total amounts you actually paid to us in the three (3) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

    These limitations are an essential basis of the bargain and apply even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so parts of this Section may not apply to you.

    15. Indemnification

    You agree to defend, indemnify, and hold harmless SimpleAlgo and its owners, officers, employees, contractors, affiliates, and licensors from and against any claims, liabilities, damages, judgments, penalties, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Services; (b) your trading or investment decisions; (c) your breach of these Terms or violation of any law or third-party right; (d) your user content; or (e) your unauthorized sharing or redistribution of our intellectual property.

    16. Affiliate and Referral Program

    If you participate in our affiliate or referral program, you agree that commissions are earned only on genuine, verified purchases by new customers that are not refunded, charged back, or self-referred. We may withhold, reverse, or forfeit commissions and terminate participation for fraud, incentivized or bot traffic, cookie stuffing, trademark or brand bidding, misleading income claims, spam, or any conduct that misrepresents the Services. Affiliates must not make guaranteed-return, income, or performance claims. Payouts are subject to minimum thresholds, verification, and clawback for disputed transactions.

    17. Suspension and Termination

    We may suspend or terminate your access immediately, with or without notice, if you breach these Terms, if we suspect fraud, abuse, piracy, credential sharing, chargeback activity, or unlawful use, or if required by law or a third-party provider. We may also discontinue the Services generally.

    Termination for breach does not entitle you to any refund. On termination, your license ends immediately, indicator access may be revoked from your linked TradingView account, and you must cease all use of our materials. Sections that by their nature should survive (including Sections 6–9 and 12–20) survive termination.

    18. Dispute Resolution, Arbitration, and Class Action Waiver

    18.1 Informal Resolution First

    Before filing any claim, you agree to contact support@simplealgo.io with a written description of the dispute and to negotiate in good faith for at least thirty (30) days. This is a condition precedent to commencing arbitration.

    18.2 Binding Individual Arbitration

    Except for claims qualifying for small-claims court and claims seeking injunctive relief for intellectual property misuse, any dispute arising out of or relating to these Terms or the Services shall be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will be seated in New Jersey and conducted in English, on the documents or by videoconference where permitted, and judgment on the award may be entered in any court of competent jurisdiction.

    18.3 Class Action and Jury Waiver

    You and SimpleAlgo agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. You and SimpleAlgo waive any right to a jury trial. If the class action waiver is found unenforceable as to a particular claim, that claim shall proceed in court and be severed from arbitration.

    18.4 Opt-Out

    You may opt out of arbitration by emailing support@simplealgo.io with the subject line “Arbitration Opt-Out,” including your name and account email, within thirty (30) days of first accepting these Terms. Opting out does not affect any other provision.

    18.5 Time Limit

    Any claim must be filed within one (1) year after it arises, or it is permanently barred, to the extent permitted by law.

    19. Governing Law and Venue

    These Terms and any dispute arising from them are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-law rules, and, where applicable, by the Federal Arbitration Act. For any matter not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of New Jersey, and you waive any objection based on inconvenient forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply. If you are a consumer resident in a jurisdiction whose mandatory laws grant you additional protections, those protections still apply to you.

    20. General Provisions

    • Changes to these Terms. We may update these Terms at any time. Material changes take effect when posted with an updated “Last Updated” date, and where practical we will provide notice by email or in-product. Continued use after the effective date constitutes acceptance; if you disagree, stop using the Services and cancel.
    • Electronic communications. You consent to receive notices, agreements, disclosures, and receipts electronically, and agree that electronic records and signatures satisfy any legal writing requirement.
    • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including outages, exchange or data-feed failures, third-party platform disruption, cyberattacks, and acts of government.
    • Assignment. You may not assign these Terms without our written consent. We may assign them freely, including in connection with a merger, acquisition, or sale of assets.
    • Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions remain in full force.
    • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
    • No third-party beneficiaries. These Terms create no rights for any third party, except that our affiliates and licensors may enforce the disclaimers and limitations that benefit them.
    • Entire agreement. These Terms, the Privacy Policy, and the checkout terms applicable to your purchase constitute the entire agreement between you and SimpleAlgo and supersede all prior discussions, representations, and marketing statements.
    • Headings and interpretation. Headings are for convenience only. “Including” means “including without limitation.”
